Terms & Conditions
1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern the provision of legal services by Clarimonde ("we," "us," "our," or "the Firm") and your use of our website and services. By engaging our services, submitting inquiries through our website, or otherwise entering into a professional relationship with us, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree with these Terms, please do not use our services or website. These Terms should be read in conjunction with any separate engagement letter or service agreement you enter into with the Firm.
2. Definitions
For purposes of these Terms:
- "Services" refers to legal consultation sessions, document review services, ongoing advisory retainers, and related legal assistance provided by Clarimonde.
- "Client" refers to any individual or entity that engages our legal services or uses our website.
- "Website" refers to our online presence accessible through the domain associated with Clarimonde.
- "Engagement Letter" refers to any written agreement confirming the scope and terms of a specific legal matter we undertake for you.
3. Scope of Services
Clarimonde provides legal services in the following areas of civil and commercial law:
- Legal consultation sessions addressing specific legal questions
- Contract and document review services
- Ongoing legal advisory retainer arrangements
- Guidance on property transactions, commercial matters, corporate governance, family law, immigration, and intellectual property
We do not handle criminal law matters. The specific scope of services for any engagement will be confirmed in writing through an engagement letter or service agreement.
Services are provided subject to availability and our assessment of whether we can competently and ethically assist with the matter at hand. We reserve the right to decline representation or discontinue services where conflicts of interest, ethical concerns, or capacity limitations arise.
4. Client Responsibilities
As a client engaging our services, you agree to:
- Provide complete, accurate, and truthful information relevant to your legal matter
- Respond promptly to requests for information or documentation
- Inform us immediately of any material changes to your circumstances affecting the legal matter
- Pay fees and expenses according to agreed terms
- Cooperate with reasonable requests necessary to provide effective legal services
- Make final decisions regarding your legal matter after considering our advice
You understand that the quality and effectiveness of our services depend in part on receiving complete and accurate information from you.
5. Fees and Payment
Our fee structure is as follows:
- Legal Consultation Sessions: ฿5,500 per 60-90 minute session
- Contract and Document Review: ฿18,500 per document review
- Ongoing Advisory Retainer: ฿38,000 per month
Fees are payable in Thai Baht. Payment is typically due upon engagement for consultation and document review services, or on a monthly basis for retainer arrangements. We accept bank transfers, credit cards, and other payment methods as agreed.
Additional costs such as filing fees, translation services, or third-party expert consultations will be communicated in advance and are payable separately unless otherwise agreed in writing.
Fees are subject to change with notice. Changes do not affect ongoing matters already under engagement at previously agreed rates.
6. Attorney-Client Relationship
An attorney-client relationship is established only when we confirm in writing our agreement to represent you regarding a specific matter. General inquiries, website use, or preliminary consultations do not automatically create an attorney-client relationship.
Once established, the attorney-client relationship is governed by Thai legal ethics standards, including duties of confidentiality, competence, and loyalty. We will represent your interests diligently within the scope defined in our engagement agreement.
Either party may terminate the attorney-client relationship according to terms specified in the engagement letter or with reasonable notice. Upon termination, you remain responsible for fees and expenses incurred up to that point.
7. Confidentiality
All information you share with us is held in strict confidence according to professional legal ethics standards. We will not disclose confidential information without your consent except as required by law or professional regulations.
Details about our confidentiality practices and data protection measures are provided in our Privacy Policy. Please review that document for comprehensive information about how we handle client information.
8. Limitation of Services and Disclaimers
Legal services are provided based on the information available at the time and the applicable legal framework. The law is subject to change, and our advice reflects circumstances and regulations as we understand them when provided.
We do not guarantee specific outcomes in legal matters. Success depends on many factors beyond our control, including court decisions, regulatory actions, third-party behavior, and factual circumstances.
Our services are limited to providing legal advice and representation. We are not financial advisors, tax specialists, or business consultants unless specifically agreed. You should seek appropriate professional advice for matters outside legal practice.
Information provided on our website is for general informational purposes and does not constitute legal advice. Each legal situation is unique and requires individual assessment.
9. Limitation of Liability
To the extent permitted by law and professional regulations, our liability for any claim arising from our services is limited to the fees paid for the specific matter giving rise to the claim.
We are not liable for indirect, consequential, special, or punitive damages, including lost profits or business opportunities, arising from our services or any failure to provide services.
This limitation does not apply to claims arising from fraud, willful misconduct, or violations of fundamental professional obligations where such limitations are prohibited by law.
10. Intellectual Property
All materials created by us in providing legal services, including legal opinions, memoranda, and analysis, remain our intellectual property unless explicitly transferred to you in writing.
You receive a license to use these materials for the purposes related to your legal matter. You may not reproduce, distribute, or use our work product for other purposes without permission.
Website content, including text, design, logos, and other materials, is protected by copyright and trademark law. Unauthorized use is prohibited.
11. Dispute Resolution
If disputes arise concerning our services or these Terms, we encourage informal resolution through direct communication. Many concerns can be addressed through discussion and mutual understanding.
If informal resolution is unsuccessful, disputes will be governed by Thai law and subject to the exclusive jurisdiction of courts in Bangkok, Thailand.
Nothing in these Terms prevents either party from seeking preliminary injunctive relief or other urgent remedies when necessary to protect rights or interests.
12. Changes to Terms
We may update these Terms periodically to reflect changes in our practice, legal requirements, or business operations. The "Effective Date" at the top indicates when Terms were last revised.
Material changes will be communicated through notice on our website or direct communication to active clients. Continued use of services following changes constitutes acceptance of updated Terms. Changes do not affect matters already under engagement except as required by law or professional regulations.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
14. Entire Agreement
These Terms, together with any engagement letter or service agreement, constitute the entire agreement between you and Clarimonde regarding use of our services and website, superseding any prior understandings or agreements.
